1. Acceptance of Terms

By accessing or using AI Nexus ("the Platform," "we," "us"), you confirm you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies posted on the Platform.

These Terms form a legally binding agreement. If you disagree, you must stop using the Platform immediately. Your continued use following any changes constitutes acceptance of the revised Terms.

2. Description of Service

AI Nexus is a global digital marketplace facilitating the buying and selling of AI-related digital products and services, including:

• AI prompts for language models (ChatGPT, Claude, Gemini, etc.)
• Automation workflows (n8n, Zapier, Make, etc.)
• AI-powered scripts and code (Python, JavaScript, etc.)
• AI-generated image prompts and assets
• No-code and low-code AI applications and SaaS tools
• AI developer tools, plugins, and utilities
• Custom AI services from verified professionals

AI Nexus provides marketplace infrastructure but is not a party to individual transactions between buyers and sellers.

3. Eligibility

To use AI Nexus, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable laws
• Not have a previously terminated AI Nexus account
• Provide accurate, complete, and current registration information

4. Account Registration & Security

When registering, you agree to:

• Provide accurate and truthful registration information
• Maintain the security of your password and account credentials
• Promptly notify us of any unauthorized account use
• Not share your account credentials with any third party
• Be solely responsible for all activity occurring under your account

AI Nexus reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal behavior.

5. Buyer Terms

As a buyer, you agree to:

• Purchase products only for lawful purposes
• Honor the license terms accompanying each purchased product
• Not redistribute or resell single-license products without authorization
• Not request chargebacks for valid delivered digital products without attempting dispute resolution first
• Acknowledge digital product purchases are generally non-refundable except per our Refund Policy

Buyers are entitled to a 7-day refund window for products that are materially misrepresented, defective, or not as described. Requests must be submitted within 7 days of purchase via our support system.

6. Seller Terms

As a seller, you agree to:

• Complete identity verification before listing products for sale
• Only list products you own, have rights to sell, or have created
• Accurately describe your products including what is and is not included
• Provide the exact product files described in your listing
• Respond to buyer support requests within 72 hours
• Not artificially inflate sales counts, reviews, or ratings
• Not sell products that infringe on any third-party intellectual property rights
• Comply with all applicable laws in your jurisdiction

AI Nexus may remove listings, withhold payments, or terminate accounts for violations, fraudulent activity, or repeated buyer complaints.

7. Prohibited Content & Conduct

The following are strictly prohibited:

• Products or content infringing on copyright, trademark, or other IP rights
• Malware, spyware, ransomware, or any malicious code
• Tools designed to create non-consensual intimate imagery
• Products designed to facilitate illegal surveillance or stalking
• Content to generate spam, phishing, or fraudulent material
• Hateful, discriminatory, or harassing content
• Products designed to impersonate individuals or organizations without consent
• Misleading listings with false reviews or fabricated testimonials

Violations may result in immediate account termination, content removal, and reporting to appropriate authorities.

8. Intellectual Property

Sellers retain ownership of their original content. By listing on AI Nexus, sellers grant us a non-exclusive, royalty-free license to display, promote, and distribute their listings on the Platform.

All AI Nexus trademarks, logos, interface design, and Platform content are owned exclusively by AI Nexus and may not be used without prior written permission. IP infringement notices: legal@ainexus.com.

9. Payments, Fees & Commissions

AI Nexus charges a 20% platform commission on each completed sale, automatically deducted from seller earnings before payout. There are no listing fees, monthly fees, or setup costs — we only earn when you do.

Payment processing fees (Stripe or OPay) are disclosed at checkout. Sellers receive net earnings payouts weekly, subject to a minimum threshold of $20 USD.

Prices are listed in USD by default. Multi-currency display is available, but all transactions settle in USD unless otherwise specified.

10. Refunds & Disputes

AI Nexus offers a 7-day buyer protection policy. Buyers may request refunds for:

• Products that do not match their listed description
• Corrupt, incomplete, or inaccessible product files
• Seller failure to deliver ordered custom services

All disputes must be submitted through our support system. AI Nexus will investigate and make a final binding determination within 7 business days. See our full Refund Policy for complete details.

11. Privacy & Data

Your use of AI Nexus is subject to our Privacy Policy, incorporated into these Terms by reference. By using the Platform, you consent to data collection and use as described therein.

12. Disclaimers & Limitation of Liability

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. AI Nexus does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components.

To the maximum extent permitted by law, AI Nexus shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

AI Nexus's total cumulative liability for any claims shall not exceed the greater of (a) the total you paid to AI Nexus in the 12 months preceding the claim, or (b) $100 USD.

13. Indemnification

You agree to indemnify, defend, and hold harmless AI Nexus and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

AI Nexus may suspend or terminate your account at any time, with or without notice, for conduct violating these Terms, harming other users, or at our sole discretion.

Upon termination, your access immediately ceases. Sections 7–15 survive termination. Pending seller earnings at time of termination for valid cause may be withheld pending investigation.

15. Governing Law & Dispute Resolution

These Terms are governed by applicable international commercial law. Disputes shall first be attempted through good-faith negotiation. If informal resolution fails, disputes shall be resolved through binding arbitration, waiving any right to class action participation.

Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction.

16. Changes to These Terms

AI Nexus may update these Terms at any time. We will notify registered users of material changes via email or prominent Platform notice at least 14 days before changes take effect. Continued use after changes constitutes acceptance.
